transfer pricing tax issues between certain Nortel debtors while they were engage in ongoing operations (the «Master R&D Agreement» or «MRDA»), and which had formed the basis of the appellants» theory of allocation at trial, was never intended to and did not
govern the allocation of the Lockbox Funds.
