When
convertible debt first started being introduced
as a «faster, cheaper way to get startups funded» they didn't have pricing built into them.
If the company's underlying stock decreases in value, an investor can still hold onto the
convertible bond and receive the bond's par value at maturity,
as long
as the issuer
does not default.
As an investor when you
do convertible debt you're usually pricing the round when the next money comes in.
As the investor group was seriously interested a solution was found by way of a
convertible loan and while that
did not solve the facility and friends issue, it
did protect the new investor group that consisted of some larger angel investors from across Canada.
If I need to be talked out of
doing this
as an LLC, I'd just like to understand the reasons why —
as the best of both worlds scenario I envision is keeping the LLC and
doing convertible debt financing.

do seed financing from family and friends, and want to structure it
as convertible debt.
The thinking is:
convertible notes
do a good, entrepreneur - friendly job of deferring the pricing of an equity round - but they also carry a promise to repay principal by a deadline; and,
as debt instruments,
convertible notes must accrue interest.
Things that have worked for other parents: getting rid of the baby bucket & getting a rear - facing
convertible seat; putting the seat slightly more upright (for older babies whose heads don't slump forward & no more than 30 degrees), putting the radio station to static & having it the same volume
as the crying, singing, trying different kinds of music, sitting in the back with the baby (obviously only works if someone else can drive:)-RRB-, having toys that are just for the car, only going somewhere when baby is sleepy... I'm sure there's others, those are the most common
As your baby achieves the height and weight limits set by the manufacturer, switching them to a rear - facing

done without any delays.

In any event, the Camaro's seat heaters are much appreciated, even if they don't provide
