For nonstatutory stock options and stock appreciation rights, the participant will recognize ordinary income upon exercise
in an amount equal to the
difference between the
fair market value of the shares and the exercise
price on the date of exercise.
A stock appreciation right entitles a participant to receive a payment,
in cash, common stock, or a combination of both,
in an amount equal to the
difference between the
fair market value of the stock at the time of exercise and the exercise
price of the award, which may not be lower than the
fair market value of the Company's common stock on the day of grant.
The
difference between the option exercise
price and the
fair market value of the Shares on the exercise date is treated as an adjustment
in computing the optionee's alternative minimum taxable income and may be subject to an alternative minimum tax which is paid if such tax exceeds the regular tax for the year.
Upon exercising a non-qualified stock option, the recipient will recognize ordinary income
in an amount equal to the
difference between the
fair market value on the date of exercise of the stock acquired and the stock option exercise
price, and Walmart will be entitled to a deduction
in the same amount.
If the optionee disposes of the shares prior to the expiration of the above holding periods, then the optionee will recognize ordinary income
in an amount generally measured as the
difference between the exercise
price and the lower of the
fair market value of the shares at the exercise date or the sale
price of the shares.
Stock appreciation rights provide for a payment, or payments,
in cash or shares of our Class A common stock, to the holder based upon the
difference between the
fair market value of our Class A common stock on the date of exercise and the stated exercise
price at grant up to a maximum amount of cash or number of shares.
Upon exercise of a stock appreciation right, the participant will receive payment from the Company
in an amount determined by multiplying (a) the
difference between (i) the
fair market value of a share on the date of exercise and (ii) the exercise
price times (b) the number of shares with respect to which the stock appreciation right is exercised.
Stock appreciation rights provide for a payment, or payments,
in cash or shares of our common stock, to the holder based upon the
difference between the
fair market value of our common stock on the date of exercise and the stated exercise
price of the stock appreciation right.
However, there is a problem with stock options that is sometimes overlooked, as was demonstrated
in one of the above examples of things that can go wrong: When you exercise nonqualified stock options — the type of options ordinarily issued to consultants — federal tax law requires you to pay tax on the
difference between the
fair market value of the stock and the
price you paid to exercise the options.
Stated with more detail: Is the 20 % royalty
difference (assuming you choose the 70 % rate for a first novel instead of the 35 % & lower
price) a
fair exchange for the advance, promo, and subsequent help
in establishing a reader base?
But
in the other extreme case, when you pay the full
fair market
price for the shares up front, does this mean that with an 83b election there is no tax liability at all (since there is zero
difference between the amount paid and the
fair market value at time of grant)?
But remember, to make a
fair comparison, the Heart and Brain companies must be identical including any decline
in share
price; the only
difference is whether dividends are paid.
That actually makes for a more
fair system for everyone, and any
difference in the
pricing is not something you'll notice.
In a judicial foreclosure, you are liable but the jury will determine the
fair - market value of your home and you will have to pay the
difference between that and the foreclosure
price.
When an employee stock option is exercised, the stock option benefit (the
difference between the exercise
price and the
fair market value of the share at the date of exercise) is included
in income.
The IRS considers the
difference between the current
fair market value and your exercise
price as income
in the current calendar year, either as ordinary income (for a Non-qualified Stock Option) or as an AMT preference item (for Incentive Stock Options).
