(4) An act of the foundation or
foundation board of governors is not invalid because of a defect that is afterwards discovered in the appointment of one or more members of the board.
97 The accounts of the foundation must be audited annually by a person appointed by
the foundation board of governors who is authorized to be an auditor of a company under sections 205 and 206 of the Business Corporations Act.
(2) In exercising the authority under subsection (1)(a),
the foundation board of governors may apply the foundation fund for the purposes of the foundation in the manner the board decides, including by granting loans on terms and conditions the board determines.
