If any other
matters are properly presented for consideration at the 2018 Annual Meeting, including, among other things, consideration of a
motion to adjourn the 2018 Annual Meeting to another time or place, the persons named as proxy holders, Elon Musk, Deepak Ahuja and Todd Maron, or any of them, will have discretion to
vote the proxies held by them on those
matters in accordance with their best judgment.
It's that somebody on the winning side of the cloture
vote — in this case, the side
voting against cloture — has to file a «
motion to reconsider» if the
matter is to be taken up again.
But parliamentary sources say that promise has now been transmuted into a
motion on whether there should be a free
vote on the
matter.

matter, through the mechanism of a
motion in Parliament, certain allowances were
voted through by the Labour majority.
It adds that peers «must not
vote on any bill or
motion, or ask any question in the house or a committee, or promote any
matter, in return for payment or any other material benefit (the «no paid advocacy» rule)».
By ruling of the presiding officer, or on
motion of any Council member supported by at least one - third of the Council members present and

motion to recall an elective member of the Board, may be submitted to the entire Council membership for a mail ballot, or by electronic means, and shall require for its approval a favorable
